Most IT project disputes trace back to a vague statement of work: scope without quantities, deliverables without acceptance criteria, or customer dependencies nobody wrote down. This template gives suppliers and customers a structured SOW for ERP, CRM and other IT implementations. It covers parties and precedence, objectives, definitions, scope and out-of-scope items, deliverables with objective acceptance criteria, milestones linked to payments, a RACI, dependencies, assumptions, acceptance and change control procedures, fees and invoicing, hypercare, governance and signatures, with severity definitions and a scope inventory appendix. It is a practical starting point, not legal advice, and should be reviewed by legal counsel.

How to use it

  1. Confirm the master agreement this SOW sits under and agree the order of precedence with legal counsel before drafting.
  2. Write scope with quantities: legal entities, modules, interfaces, extensions, reports, migration objects, test cycles and training sessions. Put detailed lists in Appendix B.
  3. Give every deliverable an objective acceptance criterion and a due date, and link payment milestones to accepted deliverables where possible.
  4. Complete the RACI together with the customer and make sure every activity has exactly one accountable party.
  5. List customer dependencies and assumptions explicitly. Each one should be specific enough to tell whether it was met.
  6. Have legal counsel review the SOW and its interaction with the master agreement before signature. This template is not legal advice.
  7. Keep the signed SOW and all approved change requests together in the project's contract folder.
